Frequently Asked Questions
Common questions about this calculator.
How are RSUs taxed?
RSUs are taxed as ordinary income at vesting. The difference between the vest price and grant price multiplied by the number of shares is treated as wage income and subject to federal income tax, FICA, and state tax — the same as your regular paycheck.
Do I pay capital gains on RSUs?
Capital gains only apply if you hold the shares after vesting and sell them later at a higher price. At vesting, the gain is ordinary income. Any appreciation after vesting is capital gains (short-term if held under 12 months, long-term if held 12+ months).
What is the vest price vs grant price?
The grant price is the stock price when your RSUs were awarded. The vest price is the fair market value when the shares actually vest and become yours. The taxable amount is (vest price − grant price) × shares. If your grant price was $0 (common for RSUs), the full vest value is taxable.
